5. Quotations, Orders, and Acceptance

Any quotation, pricing indication, or product listing on the website is for informational purposes only and does not constitute a binding offer unless expressly stated otherwise in writing.

An order submitted through the website, by email, or by any other channel constitutes an offer by the buyer to purchase products subject to these Terms. No contract is formed until the order has been expressly accepted by MFP-AUTOMATISMOS in writing or fulfilled through dispatch.

We reserve the right, at our sole discretion, to refuse or cancel any order, including where:

6. Prices, Taxes, and Payment

7. Shipping, Delivery, and Lead Times

Delivery dates, shipping estimates, and lead times are approximate unless expressly confirmed by us in writing as binding.

We are not liable for delays caused by:

  • carrier disruptions
  • customs procedures
  • force majeure events
  • supplier delays
  • regulatory checks
  • incorrect shipping information provided by the buyer
  • circumstances beyond our reasonable control

Delivery shall be deemed completed when the products are made available to the buyer, delivered to the buyer’s designated location, or handed over to the carrier, depending on the agreed shipping arrangement.

Risk of loss, damage, delay, or deterioration passes to the buyer in accordance with the agreed commercial terms or, if no Incoterms or equivalent shipping terms are expressly agreed, upon dispatch from our premises or handover to the first carrier.

The buyer must inspect goods promptly upon receipt and notify us in writing of any visible shortages, transport damage, or delivery discrepancies without undue delay.


8. Installation, Use, and Technical Compliance

Products sold by MFP-AUTOMATISMOS are technical and industrial components intended for professional installation and use.

The buyer acknowledges and agrees that:

  • products must be selected, installed, configured, tested, operated, and maintained by qualified personnel;
  • all installation and use must comply with applicable laws, industry standards, electrical rules, safety requirements, and local regulatory obligations;
  • operating manuals, wiring instructions, safety instructions, and maintenance requirements must be followed at all times;
  • the buyer is solely responsible for verifying system compatibility and project-specific compliance before use.

We accept no responsibility for damage, malfunction, safety incidents, loss, or liability arising from:

  • incorrect selection of products;
  • improper installation or commissioning;
  • unauthorized modifications;
  • incompatible integration with third-party systems;
  • failure to follow technical instructions;
  • abnormal, negligent, or unintended use;
  • lack of maintenance or inspection.

9. Account Registration and Business Credentials

Where account registration is available, the buyer agrees to provide accurate, complete, and current business information, including company name, billing details, VAT number where applicable, and authorized contact information.

The buyer is responsible for maintaining the confidentiality of account credentials and for all activity carried out under its account.

We reserve the right to suspend or terminate accounts that contain false information, are used improperly, or present legal, credit, compliance, or operational risks.

We may request documentary proof of business identity, VAT status, trade activity, or purchasing authority before accepting orders.


10. Returns and Order Cancellations

Returns and cancellations are subject strictly to prior written authorization by MFP-AUTOMATISMOS.

Unless otherwise agreed in writing, the following products are not returnable:

  • customized or made-to-order products
  • special procurement items
  • non-stock items
  • electrical or electronic components that have been installed, connected, programmed, tested, or used
  • products not returned in original resaleable condition
  • products with damaged, incomplete, or altered packaging

Authorized returns may be subject to:

  • inspection upon receipt
  • restocking charges
  • transport and handling charges
  • deduction for damaged or incomplete goods

Order cancellations requested after confirmation may be refused or may be subject to cancellation charges, especially where procurement, manufacturing, packing, or dispatch has already commenced.

No return may be made without our prior written approval and return instructions.


11. Warranty

Unless otherwise expressly stated in writing, any warranty provided by MFP-AUTOMATISMOS applies only to defects in material or workmanship under normal professional use and only for the warranty period specified in the applicable quotation, invoice, product documentation, or manufacturer terms.

The warranty does not cover:

  • normal wear and tear
  • consumables
  • incorrect installation
  • incorrect wiring
  • misuse or abuse
  • improper storage
  • neglect or poor maintenance
  • unauthorized repair or modification
  • environmental or site-related conditions
  • incompatibility with other equipment
  • damage caused during transport after risk has passed to the buyer

To make a warranty claim, the buyer must provide:

  • order or invoice reference
  • product identification
  • a detailed description of the issue
  • photos, video, diagnostic details, or return of the item if requested

Our obligation under any valid warranty claim shall be limited, at our option, to repair, replacement, credit, or refund of the defective product or relevant part thereof.

Except as expressly stated, all other warranties, representations, and guarantees are excluded to the fullest extent permitted by law.


12. Limitation of Liability

To the fullest extent permitted by applicable law, MFP-AUTOMATISMOS shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including without limitation:

  • loss of profit
  • loss of revenue
  • loss of contracts
  • loss of production
  • downtime
  • loss of business opportunity
  • reputational damage
  • loss of data
  • increased operating costs
  • third-party claims

arising out of or in connection with:

  • the use of or inability to use the Services;
  • any website errors or interruptions;
  • delays in delivery;
  • product incompatibility;
  • incorrect technical selection by the buyer;
  • installation or use of products;
  • system failure or malfunction;
  • breach of these Terms by the buyer.

To the maximum extent permitted by law, our total aggregate liability arising from any claim related to the Services or any order shall not exceed the amount actually paid by the buyer for the specific products giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.


13. Intellectual Property

All website content, including without limitation text, product data, product descriptions, technical graphics, photographs, logos, catalog structure, design elements, page layout, downloadable documents, trademarks, and branding, is owned by or licensed to MFP-AUTOMATISMOS and is protected by applicable intellectual property laws.

The buyer agrees to indemnify, defend, and hold harmless MFP-AUTOMATISMOS, its affiliates, directors, officers, employees, agents, and contractors from and against any claims, liabilities, losses, damages, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • the buyer’s breach of these Terms;
  • incorrect installation, use, resale, or integration of products;
  • the buyer’s non-compliance with technical or legal requirements;
  • personal injury, property damage, or third-party loss caused by the buyer’s acts or omissions;
  • any misuse of the Services or products.

19. Suspension and Termination

We reserve the right to suspend, limit, or terminate access to the Services, refuse transactions, cancel accounts, or block future purchases at any time where we reasonably determine that:

  • the buyer presents credit, fraud, compliance, or operational risk;
